I’m an Associate in the Charity & Social Enterprise team.  I advise organisations large and small on charity law, company law and commercial matters.

So I can help you to set up and register your organisation, write or amend your organisation’s constitution, and advise you on contracts and grant arrangements.  I also advise on regulation in this area, especially around fundraising.


  • I assisted a national healthcare charity, which had lots of local member organisations, to incorporate as a company and at the same time to reorganise its membership structure.

    This has helped both the national charity and the local member organisations to operate more efficiently. The work included: drafting the charity’s new articles of association, the local charities’ new constitutions, the incorporation transfer agreement and the membership agreements, and advising the national charity through the whole process.

  • I recently worked on secondment at a national charity, within their fundraising team.

    I drafted and updated fundraising contracts, including contracts with professional fundraisers, commercial participators, challenge event organisers and other suppliers. I also worked with their creative team to check that all new fundraising materials complied with charity law and fundraising regulations.

  • I’ve given advice to a number of charities that are part of international networks, about their governance and how they collaborate with other members of their network.

    I’ve also advised on complying with Charity Commission guidance about working overseas.

  • I’ve assisted with incorporating existing charities as charitable companies and CIOs, including advice about due diligence, drafting the necessary agreements, and dealing with the unincorporated charity after the transfer has gone through.
  • I’ve acted on mergers between charities and other not-for-profit organisations, including registered providers of social housing; on the flip-side I’ve also advised on spin-outs, including transfers out of larger charities and local authorities.
  • I’ve advised several clients on converting from registered societies (which used to be known as industrial and provident societies) to companies, including clients who are registered providers of social housing.
  • I’ve helped form and register many new charities and social enterprises, as well as their trading subsidiaries.
  • I frequently advise on conflicts of interest and other governance matters.
