I am a senior associate in the Charity and Social Enterprise team – I joined Bates Wells in 2019. I advise charities, social enterprises and non-profits on a variety of matters including formation, governance, grant-making, fundraising and contractual arrangements.

I frequently advise clients on intellectual property matters, reviewing existing arrangements, drafting and negotiating agreements and providing advice on charity law considerations related to IP.

Highlights
  • Intellectual Property I advise clients on questions relating to their intellectual property, as well as drafting IP assignment and licensing agreements. I recently advised a national charity on brand licensing in the context of a TV production, and I provide IP licensing advice to a household name charity.
  • Charity formation I advised on the establishment of a charity with connections to an overseas non-profit, achieving the charity registration on an expedited basis.
  • Governance and structuring advice I am advising a large, international charity on its global governance structure, and have provided complex structuring advice to an educational charity with multiple regulators.
  • Mergers I regularly advise on mergers and have experience in assisting clients with both full asset transfer and change of control mergers. Previous advice has included drafting and negotiating heads of terms, agreeing transfer agreements and assisting with project management.
  • Fundraising I advise a national charity on their fundraising work, ensuring compliance with charity and fundraising law and regulation.
  • Provided extensive advice to a charity led theatre group on structuring, commercial negotiations, charity/governance and stakeholder relationships.
  • Provided extensive support to a national music venues group on its establishment and registration as a charity.
  • I advise on the formation of social enterprises, including community interest companies.
  • I advise on the establishment of trading subsidiaries and provide associated advice such as drafting resource sharing agreements.
  • I advise on grant agreements and grant making policies.
