I specialise in Impact Finance, having joined Bates Wells in 2023. Before this, I worked as a real estate finance lawyer at Herbert Smith Freehills LLP and trained at the same firm.

I act for banks, investors and borrowers including charities and purposeful businesses and have acted in multi-party international syndicated transactions as well as smaller bilateral facilities.

Highlights
  • Impact investment and funding Advising FMO on its largest syndicated financing transaction to date with a number of leading development finance institutions.
  • Advising Better Society Capital on the deployment of the £15m Energy Resilience Fund aimed at supporting community and social enterprises to improve energy resilience and stabilise energy costs.
  • Drafting in-house grant templates for a number of charitable organisations including a template grant agreement for a funder to use on a range of international grants with a particular focus on equalising the balance of power between funder and the grant recipient in funding terms and legal documentation.
  • Advising City Bridge Foundation on a number of social investments such as its debt financings to West Ham United Foundation and the Helen Bamber Foundation based on the principles from the Equalising Deal Terms project co-led by Bates Wells.
  • Advising an independent philanthropic foundation on a secured climate impact-linked finance investment to fund an innovative community-based carbon project in Tanzania.
  • Advising the Charity Bank Limited on a number of bilateral and syndicated financings.
  • Charity and Social Enterprise Advice Advising on the incorporation of a charity’s trading subsidiary including drafting constitutional documents and key commercial agreements between the charity and its trading subsidiary.
  • Advising on complex governance matters including a trustee dispute for an unincorporated charity.
  • Advising an independent research and development institute on the charity law aspects of a new high-profile programme involving the structuring of its cutting-edge AI Sandbox.
  • Advising on the incorporation of a community interest company creating networking, educational and philanthropic opportunities for displaced Palestinian people, including advising on regulatory aspects and drafting constitutional documents.
  • Incorporating a medical research charity focusing on the cure and treatment of a rare genetic disease.
